   Understand the licensing wall first

   A US exchange is a money services business: FinCEN MSB registration federally, then money transmitter licenses state by state (49 states require them in some form), New York's BitLicense for serving New Yorkers, and California's Digital Financial Assets Law licensing regime, live as of July 2026. Capital requirements commonly run $250,000 to $500,000 per major state, surety bonds stack on top, and total pre-launch compliance spend routinely passes half a million dollars. This is the business; the software is the easy part.

   Choose a realistic entry lane

   Three honest paths: raise venture-scale capital and license directly; launch on top of an already-licensed infrastructure partner (crypto-as-a-service platforms carry the licenses while you own the brand and customer relationship, trading margin for speed); or serve a niche the giants ignore (a specific asset class, region, or customer type) with the partner model. Competing head-on with Coinbase and Binance on general spot trading is not a plan.

   Build the compliance program before the product

   A named BSA compliance officer, a written AML program, KYC onboarding, transaction monitoring, sanctions screening, Travel Rule messaging, and suspicious activity reporting. Regulators and banking partners will read this program before anyone reads your code, and weak compliance is the number one reason exchanges lose their bank accounts.

   Solve custody and banking early

   Customer asset custody (qualified custodian partner or audited self-custody with multi-signature and cold storage), proof-of-reserves practices (the post-FTX trust bar), and a banking partner willing to serve a crypto business. Each of these takes months and any one of them failing stops the launch.

   Engineer the exchange core to financial-grade standards

   Matching engine, wallet infrastructure, liquidity (usually bootstrapped through market-maker agreements and liquidity routing to larger venues), and security audited by named firms. Exchange hacks are existential; the security budget is not a place to economize.

   Earn revenue across the stack

   Spot trading fees (0.1 to 1.5 percent by volume tier), spreads on instant buy-sell, listing fees, staking services where legally permitted, and interest on reserves. Mature exchanges diversify because raw trading fees compress; plan the second revenue stream before launch, not after.
