Unleash Your Ideas -- a brand of ReSkillify Group

These Terms of Service ("Terms") are a legally binding agreement between you and ReSkillify Group, owner and operator of Unleash Your Ideas ("we," "us," or "our"). Dee Williams is the Founder. These Terms govern your use of the website, platform, AI-powered tools, courses, trainings, digital products, financial calculators, Done-For-You services, and all related content (collectively, the "Services"). By creating an account, making a purchase, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who May Use the Services

You must be at least 18 years old and legally capable of entering into a binding agreement to independently create an account and use the Services. The platform includes business ideas and tools that may be explored by teens and minors; however, individuals under 18 may only use the Services under the supervision of a parent or legal guardian who accepts these Terms on their behalf and assumes full responsibility for their use of the platform.

Individuals under 13 are not permitted to use the Services under any circumstances without a parent or guardian creating and managing the account on their behalf, consistent with COPPA. By using the Services on behalf of a minor, a parent or guardian represents and warrants that they have authority to do so and agree to these Terms in full.

2. Your Account

• Provide accurate, complete, and current information and keep it updated.
• Keep your login credentials confidential and do not share your account.
• Notify us immediately at support@unleashyourideas.com if your account is compromised.
• You are responsible for all activity under your account, whether or not you authorized it.

3. Description of Services

Unleash Your Ideas is an AI-powered platform designed to help individuals -- including aspiring entrepreneurs of all ages, under appropriate adult supervision -- turn business ideas into real, executable plans and operations. The platform includes the Idea Marketplace (5,000+ vetted business ideas spanning general, teen, and youth-oriented categories, with startup costs, timelines, and viability scores); Kenny (AI partner); Business Plan Studio; financial calculators; Agent Engine; Content Studio; landing page and lead magnet builders; CRM; Goal Engine; email and SMS automation; Done-For-You services; and courses and training programs. Features may be added, modified, or removed at any time, with notice where material to active subscribers.

4. Purchases, Subscriptions, and Billing

• Prices are shown at checkout. Some products are one-time purchases; others are installment plans or recurring subscriptions.
• By choosing a subscription or installment plan, you authorize us and Stripe to charge your payment method on the schedule disclosed at checkout until the plan is complete or you cancel.
• Subscriptions auto-renew unless you cancel before the renewal date. You retain access through the period paid for.
• Cancel at any time through your account dashboard or by contacting support@unleashyourideas.com.
• Pricing changes will be communicated at least 30 days before taking effect for existing subscriptions. Continued use constitutes acceptance of the new price.

5. Refund Policy

Digital products, subscriptions, and memberships are generally non-refundable once access is delivered or the subscription period has begun, except where a specific guarantee or refund window is stated on the product page, where required by applicable law, or in cases of duplicate charges or billing errors. Contact support@unleashyourideas.com within the timeframe on the product page (or within 30 days if none is specified) and we will review your request in good faith.

6. Acceptable Use and Prohibited Conduct

You agree NOT to use the Services to:

• Violate any applicable local, state, national, or international law or regulation.
• Infringe or violate the intellectual property, privacy, publicity, or other rights of any person or entity.
• Upload, transmit, or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene.
• Probe, scan, or test platform vulnerabilities or breach any security or authentication measures.
• Scrape, crawl, or use automated means to collect data without our express written consent.
• Resell, sublicense, or commercially exploit any part of the platform without express written permission.
• Send spam, unsolicited communications, or automated bulk outreach.
• Impersonate any person or entity or misrepresent your affiliation.
• Interfere with or disrupt platform integrity or performance.
• Use the platform to build a competing product or for competitive intelligence benchmarking.
• Allow a minor to use the Services in violation of Section 1 or applicable law, including COPPA.

7. Content You Add to the Platform

You retain full ownership of content you upload, store, or publish on the platform ("Your Content"). By adding content, you grant us a limited, non-exclusive, royalty-free license to host, store, process, display, and transmit Your Content solely to provide the Services to you. You represent and warrant that you own Your Content or have all necessary rights to upload it; it does not infringe third-party rights; and it complies with these Terms and applicable laws.

• Do not add third-party logos, trademarks, or copyrighted materials without authorization.
• If you connect a social account, you are responsible for confirming you have the right to publish to it.
• We may remove Your Content or suspend your account if it infringes third-party rights or violates these Terms.

You agree to indemnify, defend, and hold harmless ReSkillify Group, Dee Williams, and our officers, directors, employees, agents, and successors from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from Your Content or your use of the Services in violation of these Terms.

8. Intellectual Property

ReSkillify Group owns all right, title, and interest in the Services, platform, software, technology, AI models, tools, features, content (other than Your Content), trademarks, service marks, trade names, and branding associated with Unleash Your Ideas. Nothing transfers any ownership of our intellectual property to you. You receive only the limited license to use the Services as described in these Terms.

9. AI Features -- Important Disclosures

The platform is powered extensively by AI. Kenny, the Business Plan Studio, Agent Engine, financial calculators, content generation tools, and all other AI-powered features generate outputs based on your inputs and trained model parameters. You acknowledge that:

• AI-generated content -- including business plans, financial projections, calculator outputs, marketing copy, and strategy recommendations -- is for informational and educational purposes only and does not constitute legal, financial, accounting, tax, investment, or professional advice.
• AI outputs may contain errors or outdated information. You are solely responsible for independently verifying any AI-generated output before relying on it.
• You retain ownership of the inputs you provide. We retain a license to process them to deliver the Services.
• We may use aggregated, anonymized interaction data to improve our AI systems.
• You will not use AI features to generate content that violates applicable law or these Terms.

10. No Guarantee of Results

We do not guarantee any specific income, revenue, business outcome, or result. Your results depend on your own effort, decisions, resources, market conditions, timing, and factors outside our control. Testimonials and income examples in our marketing materials are illustrative only. Nothing in the Services constitutes legal, financial, tax, accounting, or investment advice.

11. Third-Party Services and Links

The platform may integrate with or link to third-party services including Stripe, Brevo, HootHire, PitchClose AI, domain registrars, and social media platforms. Your use of any third-party service is subject to that service's own terms and privacy policy. We are not responsible for the practices, content, or availability of third-party services.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RESKILLIFY GROUP, DEE WILLIAMS, AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR SYSTEM FAILURE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow certain liability exclusions. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

For any dispute arising out of or relating to these Terms or the Services, you and ReSkillify Group agree to first attempt informal resolution by contacting support@unleashyourideas.com. If not resolved within 30 days, either party may pursue binding individual arbitration.

Binding Arbitration:Disputes will be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or JAMS under its Streamlined Arbitration Rules, at ReSkillify Group's election. Arbitration will be conducted in Los Angeles, California, or by telephone or videoconference at your election.

Class Action Waiver: You and ReSkillify Group agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative action.

Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@unleashyourideas.comwith subject line "Arbitration Opt-Out."

Exceptions: Either party may seek injunctive or equitable relief in court to prevent intellectual property infringement or irreparable harm.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. For disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts in Los Angeles County, California.

16. Termination

You may close your account at any time by contacting support@unleashyourideas.com. We may suspend or terminate your access with or without notice if you violate these Terms, engage in conduct creating legal risk or harm, or for any other reason at our discretion. Sections 7, 8, 9, 10, 12, 13, 14, and 15 survive termination.

17. Changes to These Terms

We may update these Terms. When we make material changes, we will update the date at the top and notify you via email or platform notice at least 30 days before the change takes effect. Continued use after the effective date constitutes acceptance.

18. Miscellaneous

• Entire Agreement: These Terms together with our Privacy Policy and SMS Terms constitute the entire agreement between you and ReSkillify Group regarding the Services.
• Severability: If any provision is held unenforceable, it will be modified to the minimum extent necessary and remaining provisions continue in full force.
• No Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
• Assignment: You may not assign these Terms without prior written consent. We may assign them in connection with a merger, acquisition, or asset sale.
• Force Majeure: We are not liable for failure or delay due to circumstances beyond our reasonable control.
